Business Description

The Company is a family-owned, Canadian-owned electrical and mechanical services business founded more than six decades ago and headquartered in Ontario. The company serves residential, commercial, institutional and industrial customers across its region. Its service offering spans electrical contracting, plumbing, heating and gas, standby generators, industrial automation and bucket-truck work. This breadth supports emergency response, project work, equipment sales, installation and ongoing service through a single operating platform.

FY2026 revenue was $5,591,360, up 20.8% over FY2025. Adjusted SDE was $885,689, based on income from operations plus amortization, long-term debt interest, related-party project-management fees, apprenticeship subsidies and a $180,000 personal allowance. The asking price of $5,591,360 equals 1.00x FY2026 revenue and 6.31x adjusted SDE. The operating real estate and inventory are available at additional cost.

Management continuity: the principal owner (President) is retiring, while the next-generation family managers, the Operations Manager and the Field Manager, intend to remain with the company under new ownership, and their continuing roles can be formalized as part of the transaction. Their compensation is already reflected in operating expenses before adjusted SDE. They are supported by an operations coordinator, office administration, purchasing and sales personnel and a licensed field workforce, approximately 25 employees in total.

Customers span homeowners and cottage owners, commercial and institutional facilities, industrial operators and contractors across the region. Revenue comes from service calls, 24-hour emergency work, installations, renovation and construction projects, equipment sales (including authorized sales of a major generator brand) and technical automation work.

The business operates from a purpose-built facility with office and warehouse space. Operating assets of approximately $1,893,500 (service vehicles and bucket truck, trailers, machinery and equipment, trade tools and test equipment) are included in the sale. Approximately $2.0 million of warehouse inventory is purchased separately at cost, and the operating real estate (approximately $3.0 million) is available separately.

Facilities:
The business operates from a purpose-built facility with office and warehouse space supporting inventory, equipment staging, vehicle dispatch and customer-facing equipment sales. Operating assets included in the sale total approximately $1,893,500 per the seller’s schedule: service vehicles and bucket truck ($957,000), trailers ($103,500), machinery and equipment ($233,000), and trade tools and test equipment ($600,000). Approximately $2.0 million of warehouse inventory is purchased separately at cost, on top of the asking price. The operating real estate (approximately $3.0 million) is not included in the asking price and is available separately. The equipment base supports 24-hour emergency response across the service area.
Competition:
Revenue comes from a mix of service calls, 24-hour emergency work, installations, renovation and construction projects, equipment sales and technical automation work across electrical contracting, plumbing and water systems, heating and gas, generators and standby power (authorized sales of a major generator brand), industrial automation and bucket-truck services. Customers span homeowners and cottage owners, commercial and institutional facilities, industrial operators and contractors across the region. Multiple trades and demand channels reduce reliance on any single end market, and more than six decades of regional presence supports repeat and referral activity.
Growth & Expansion:
Build a formal commercial sales and key-account process with account planning, bid tracking and outbound coverage. Expand preventative maintenance and service agreements across electrical, generators, heating, plumbing and controls. Grow generator installation and service on the authorized offering of a major generator brand. Deepen industrial automation and controls work (motor controls, drives, PLCs, switchgear). Cross-sell plumbing, heating, gas, generators and controls to the electrical customer base. Package cottage openings, winterization, pumps, water systems, heating and standby power into repeat seasonal programs. Extend the regional footprint through satellite coverage, recruitment or tuck-in acquisitions of smaller trade contractors.
Financing:
Seller financing available

The seller will entertain all reasonable offers for seller financing.

Support & Training:
The principal owner (President) is retiring and will provide a structured handover of customer relationships, systems and operating knowledge. The next-generation family managers, the Operations Manager and the Field Manager, intend to remain with the company under new ownership, and their continuing roles can be formalized as part of the transaction. Their compensation is already reflected in operating expenses before adjusted SDE. They are supported by an operations coordinator, office administration, purchasing and sales personnel, warehouse staff and a licensed field workforce (approximately 25 employees in total). Transition terms will be discussed with qualified buyers.
Reason for Selling:
Owner retiring; next-generation managers remain with the company.
